A decis\u00e3o encerra uma disputa de mais de quatro anos entre as companhias, que havia sido iniciada ap\u00f3s o cancelamento unilateral do acordo pela Boeing.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">O rompimento do acordo<\/h2>\n\n\n\n<p>Anunciado em 2017, o neg\u00f3cio envolvia a aquisi\u00e7\u00e3o de 80% da divis\u00e3o de avia\u00e7\u00e3o comercial da <a href=\"https:\/\/latamreports.com\/br\/fab-investiga-desaparecimento-de-aviao-brasileiro-proximo-a-fronteira-com-a-venezuela\/\">Embraer<\/a> pela Boeing, por um valor de US$ 4,2 bilh\u00f5es, o que equivale a US$ 5,2 bilh\u00f5es (R$ 29 bilh\u00f5es) em valores atuais. A Embraer manteria os 20% restantes, com controle sobre as divis\u00f5es de defesa e avia\u00e7\u00e3o executiva. Em 2018, o governo brasileiro aprovou a fus\u00e3o, preservando uma a\u00e7\u00e3o preferencial na Embraer, desde sua privatiza\u00e7\u00e3o em 1994.<\/p>\n\n\n\n<p>Contudo, em 2020, a Boeing cancelou o acordo. A Embraer ent\u00e3o buscou repara\u00e7\u00e3o pelos preju\u00edzos causados, estimados em R$ 980 milh\u00f5es, devido ao processo de reorganiza\u00e7\u00e3o interna necess\u00e1rio para o neg\u00f3cio. A decis\u00e3o de Nova York reconheceu os danos financeiros sofridos pela fabricante brasileira.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Impactos e desdobramentos<\/h3>\n\n\n\n<p>A Boeing alegou que a fus\u00e3o n\u00e3o foi conclu\u00edda por falhas da Embraer no cumprimento de cl\u00e1usulas do acordo, justificativa que a decis\u00e3o arbitral refutou. Al\u00e9m disso, os americanos enfrentavam \u00e0 \u00e9poca uma crise devido aos acidentes envolvendo o modelo Boeing 737 MAX, al\u00e9m das dificuldades trazidas pela pandemia, que impactou severamente o setor aeroespacial.<\/p>\n\n\n\n<p>A fus\u00e3o s\u00f3 dependia da aprova\u00e7\u00e3o regulat\u00f3ria da Uni\u00e3o Europeia quando foi cancelada, e a \u00fanica penalidade prevista em caso de n\u00e3o obten\u00e7\u00e3o das aprova\u00e7\u00f5es era uma multa de US$ 100 milh\u00f5es. No entanto, o rompimento aconteceu antes dessa etapa.<\/p>\n\n\n\n<p>O clima de animosidade entre as empresas se estendeu a outros processos. O governo brasileiro e associa\u00e7\u00f5es da ind\u00fastria de defesa questionam na Justi\u00e7a o recrutamento de engenheiros da Embraer por parte da Boeing, alegando abuso de poder econ\u00f4mico.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Situa\u00e7\u00e3o atual das empresas<\/h2>\n\n\n\n<p>Em nota, a Boeing afirmou estar satisfeita com a conclus\u00e3o do processo e destacou seus mais de 90 anos de parceria com o Brasil. Por outro lado, a Embraer publicou um fato relevante descrevendo a decis\u00e3o judicial e os valores envolvidos.<\/p>\n\n\n\n<p>Atualmente, a Boeing enfrenta uma crise reputacional devido a problemas com o 737 MAX e outros modelos, al\u00e9m de quest\u00f5es relacionadas ao desenvolvimento de sua c\u00e1psula espacial. A empresa tamb\u00e9m lida com uma greve rara em sua hist\u00f3ria. Apesar disso, permanece entre as maiores do setor, ao lado da Airbus. Em 2023, entregou 528 avi\u00f5es comerciais, ficando atr\u00e1s da Airbus, que entregou 735 aeronaves.<\/p>\n\n\n\n<p>A Embraer, por sua vez, registrou lucro de R$ 164 milh\u00f5es e mant\u00e9m uma carteira de encomendas de R$ 103 bilh\u00f5es. A empresa tamb\u00e9m continua investindo no desenvolvimento de sua linha de avia\u00e7\u00e3o executiva e defesa, setores que permaneceram sob seu controle ap\u00f3s o rompimento da fus\u00e3o.<\/p>\n\n\n\n<p>No Brasil, a Boeing tem direcionado investimentos para o desenvolvimento de combust\u00edveis sustent\u00e1veis, como o SAF (Sustainable Aviation Fuel), aproveitando a expertise do pa\u00eds em biodiesel e etanol para transformar o Brasil em um centro mundial de produ\u00e7\u00e3o desse tipo de combust\u00edvel.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>A
